Welcome to Supply Chain Masters. These Terms of Service ("Terms") govern your use of our supply chain optimization and logistics consulting services. By engaging our services, you agree to be bound by these Terms.
1. Services Overview
Supply Chain Masters provides professional supply chain and logistics services including:
- Search Engine Optimization (SEO)
- Pay-Per-Click (PPC) Advertising Management
- Social Media Marketing
- Content Marketing and Creation
- Email Marketing Campaigns
- Analytics and Performance Reporting
- Conversion Rate Optimization
- Marketing Strategy Consulting
Specific services, deliverables, timelines, and pricing are outlined in your individual Service Agreement or Statement of Work ("SOW").
2. Service Delivery & Timelines
2.1 Campaign Launch
- Standard onboarding takes 5-10 business days after contract signing
- Campaign launch timelines depend on service complexity and client response time
- SEO campaigns typically show initial results in 3-6 months
- PPC campaigns begin delivering traffic immediately upon launch
2.2 Performance Disclaimers
While we employ industry best practices and proven strategies, we cannot guarantee specific results including but not limited to:
- Specific search engine rankings or positions
- Exact traffic volumes or conversion rates
- Guaranteed ROI or revenue figures
- Social media follower counts or engagement rates
Results depend on numerous factors including market conditions, competition, budget, and client cooperation.
3. Client Responsibilities
To ensure successful campaign execution, you agree to:
3.1 Access & Information
- Provide timely access to necessary platforms (Google Ads, Facebook Ads, website, analytics)
- Supply accurate business information, branding materials, and campaign objectives
- Grant appropriate admin/editor permissions for campaign management
- Respond to requests for information within 3 business days
3.2 Data & Cooperation
- Provide accurate supply chain data and operational information
- Grant necessary access to systems, warehouses, and facilities
- Ensure all provided information complies with applicable laws and regulations
- Accept responsibility for legal compliance of approved campaigns
3.3 Third-Party Accounts
- Maintain active accounts with required platforms (Google, Facebook, etc.)
- Ensure advertising accounts remain in good standing
- Pay advertising spend directly to platforms (separate from our service fees)
- Maintain billing information with advertising platforms
4. Payment Terms
4.1 Service Fees
- Monthly service packages are billed in advance on the first day of each month
- One-time projects are billed 50% upfront, 50% upon completion
- Setup fees (if applicable) are due before campaign launch
- Payment must be made within 7 days of invoice date
- Late payments incur a 5% monthly interest charge
- Accounts 30+ days past due may result in service suspension
4.2 Advertising Spend
- Ad spend is paid directly by client to advertising platforms (Google, Facebook, etc.)
- Our management fees are separate from advertising spend
- Minimum monthly ad spend may be required for certain packages
- Budget adjustments require 5 business days notice
4.3 Additional Costs
- Premium tools, software licenses, or stock media may be billed separately
- Out-of-scope work requires approval and additional fees
- Rush deliverables may incur expedite fees
- All fees are in USD unless otherwise specified
5. Confidentiality
Both parties agree to maintain strict confidentiality regarding:
- Business operations, strategies, and proprietary information
- Proprietary methodologies and processes
- Client data and performance metrics
- Any sensitive information shared during engagement
- Third-party information obtained during service delivery
- Financial and commercial terms of agreements
6. Intellectual Property
Intellectual property rights are governed as follows:
- Client retains ownership of their existing intellectual property
- Work products created specifically for client remain client property
- Supply Chain Masters retains rights to general methodologies and tools
- Joint intellectual property requires mutual agreement for use
- Pre-existing intellectual property remains with original owner
7. Limitation of Liability
Supply Chain Masters' liability is limited to the total amount paid for services. We are not liable for:
- Indirect or consequential damages
- Loss of profits or business opportunities
- Third-party actions or decisions
- Force majeure events beyond our control
- Client's failure to implement recommendations
- Market conditions or industry changes
8. Service Level Commitments
We commit to:
- Deliver services according to agreed specifications
- Maintain professional standards and expertise
- Provide regular progress updates and reporting
- Respond to inquiries within 24 hours during business days
- Maintain confidentiality and data security
- Comply with applicable laws and regulations
9. Contract Term & Termination
9.1 Contract Length
- Monthly packages: 3-month minimum commitment, then month-to-month
- One-time projects: Duration as specified in SOW
- Annual contracts: 12-month commitment with renewal option
- Cancellation requires 30 days written notice
9.2 Termination by Client
- Clients may cancel with 30 days written notice after minimum commitment period
- Early termination within minimum period requires payment of remaining contract value
- Setup fees and completed work are non-refundable
- Final month's services will be billed pro-rata
9.3 Termination by Agency
We reserve the right to terminate services immediately if:
- Client fails to make payment within 30 days
- Client violates advertising platform policies resulting in account suspension
- Client provides false or misleading information
- Client engages in illegal, unethical, or fraudulent business practices
- Client breaches confidentiality obligations
9.4 Upon Termination
- All outstanding fees become immediately due
- Access to platforms and analytics will be transferred back to client
- Campaign assets (ad copy, graphics, etc.) remain client property
- Reporting and documentation will be provided within 7 business days
- Confidentiality obligations survive termination indefinitely
- We are not obligated to maintain campaigns after termination
10. Force Majeure
Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including:
- Natural disasters and extreme weather events
- Government actions, regulations, or restrictions
- Pandemic or public health emergencies
- War, terrorism, or civil unrest
- Major infrastructure failures or cyber attacks
- Supplier or vendor failures beyond our control
11. Dispute Resolution
Disputes will be resolved through:
- Good faith negotiations between parties
- Mediation through independent third party if needed
- Binding arbitration if mediation fails
- Governing law: Colorado state law
- Jurisdiction: Loveland, Colorado courts
12. Modifications
These terms may be modified with:
- Written notice to all parties
- 30 days advance notice for material changes
- Client consent for significant modifications
- Continued service constitutes acceptance
